Contract terms
General terms and conditions
These terms and conditions govern the use of the B2B software PROJEKT FLOW by companies and self-employed persons.
1. Scope
These terms and conditions apply to contracts between Maximilian Nebel, sole proprietorship NEBEL PROJEKT FLOW, correspondence address Speerstrasse 34, 8805 Richterswil; current registered address Badenerstrasse 736, 8048 Zürich ("provider"), and business customers for the use of PROJEKT FLOW. Until the company amendment is completed, the sole proprietorship is still entered in the commercial register under "Nebel Nutrition Labs". Different terms apply only if they have been confirmed in writing.
2. Offer and conclusion of contract
The website, presentations and trial access accounts are invitations to review the offer. A paid contract is formed only by an expressly confirmed order, acceptance of an individual offer, or an online conclusion clearly designated as subject to payment. Before conclusion, the package, price, term and included services are displayed or confirmed in writing.
3. Trial period
The trial period lasts in principle ten days and is free of charge. It ends without an automatic charge. There is no entitlement to repeated trial periods. Trial access can be blocked in the event of misuse or security risks.
4. Services
The provider makes PROJEKT FLOW available as web-based software within the agreed scope of functions. Function descriptions in the selected package and individual offers form part of the contract. Functions may be developed further, provided the essential purpose of the contract is preserved. Functions described as "planned" or "in development" are not yet a binding component of the services.
5. Accounts and roles
The company admin manages the users and permissions of their business. Accounts are to be used personally; access credentials must not be shared. The customer informs the provider without undue delay of suspected misuse and keeps user, company and billing data up to date.
6. Data and permitted use
The customer remains responsible for content and personal data that the customer records in PROJEKT FLOW. The customer ensures that their processing is lawful and that employees, customers and other affected persons have been appropriately informed. Unlawful content, attacks, circumvention of protective measures and impairment of other company areas are prohibited.
Temporary staffing and jointly processed assignments
The temporary staffing agency and the client company independently agree employment, staff leasing, remuneration and the required permits. PROJEKT FLOW provides the software and, through an assignment confirmation, becomes neither the employer nor a party to a personnel lease. The companies inform the employees concerned before data is passed on and determine the permitted scope, access and retention. The coupling code enables a request; only confirmation by the client company activates the assignment. Shared time records do not replace a professional, employment-law or pay-related review.
For confirmed assignments, hours and corrections for the agreed period can be submitted after the end of the assignment. Approved records are protected against overwriting. Existing data remain accessible to authorised parties. Existing records remain visible to authorised parties. The parties clarify corrections, exports and deletions, taking their own statutory duties into account. A CSV export is not a payroll calculation.
7. Prices and payment
Prices are stated in Swiss francs and, where indicated, exclude VAT. New online orders offer Flow Solo, Flow Team and Flow Business. For monthly payment, the stated monthly amount is charged after confirmation in Stripe Checkout; the subscription renews monthly until cancelled. For annual payment, the full annual amount is charged upfront; new annual packages end after twelve months without automatic renewal. One-time setup fees and additional access are shown before ordering. Existing subscriptions retain the terms agreed when they were purchased. Direct purchase does not include a free trial. Access is activated after successful payment. Individual offers may specify different terms. In the event of late payment, the provider may suspend access after a reminder. Statutory payment and retention obligations remain reserved.
8. Availability and support
The provider operates the platform with appropriate care. Maintenance, security updates, and disruptions of telecommunications or external service providers may temporarily restrict use. A specific availability applies only if it has been expressly agreed in a separate Service Level.
9. Intellectual property
The software, design, trademarks, documentation and templates provided remain with the provider or the respective rights holders. For the term of the contract, the customer receives a non-transferable right of internal business use. The customer's own content and company data remain attributed to the customer.
10. Warranty and liability
The provider corrects reproducible defects within a reasonable time. To the extent permitted by law, liability for slight negligence, indirect damage, lost profit and data losses is excluded. For intent, gross negligence and mandatory statutory liability, the statutory provisions apply. The customer remains responsible for professional review, approval, safeguarding of exported documents and the accuracy of quotes, work reports, invoices and QR payment data.
11. Term, termination and data
Monthly subscriptions ordered online can be terminated in the customer portal under Settings → Subscription & payment at the end of the contract period already paid. Access remains in place until that time. Different durations for individual offers are expressly agreed. After the end of the contract, access is deactivated. The customer should export required data before the end of the contract. Thereafter, data may be deleted after a reasonable transition period, insofar as no statutory duties prevent this.
12. Confidentiality and privacy
Both parties treat non-public business information as confidential. The processing of personal data is governed by the privacy policy and, if required, a separate data processing agreement.
13. Final provisions
Changes to these terms and conditions are communicated in good time. Should a provision be invalid, the remainder of the contract remains in effect. Swiss law applies. The exclusive place of jurisdiction is, to the extent permitted by law, Zürich, Switzerland.
